Should your company fail to maintain a Registered Agent or fail to pay franchise tax and file annual reports, it may lose its right to conduct business, lose its right to its name and have its charter cancelled. Sometimes this is called “going void”. Should this happen to your company and you want to keep your company and reinstate it, you may restore Good Standing Status by filing a Reinstatement form after paying all back penalties and fees, paying outstanding registered agent fees, and paying a reinstatement fee.

A Reinstatement filing regains Current Good Standing for your company after it has gone void by failing to pay franchise tax or maintain a Registered Agent.

We charge a $189 processing fee (plus state fees) to file a Certificate of Renewal and Revival for a Florida Corporation, LLC, LP, or LLP. We prepare this certificate for the signature of an Officer, Director, or Member.

To obtain a Certificate of Renewal and Revival, the following conditions must be met:

  • Back state taxes must be paid.
  • The state filing fee must be paid.
  • The Agents and Corporations, Inc. (Incnow) Registered Agent fee must be paid.

If you call our office, we will determine the amount of tax you owe, plus any applicable penalties and interest.

We can also perform this service if we are not currently your Registered Agent.
