Types of Formations



What are the differences between Corporations and LLCs (Limited Liability Companies)?

Like Corporations, LLCs offers limited liability to their owners; however, unlike Corporations, LLCs are taxed as Partnerships or Sole Proprietorships (unless they elect to be taxed as Corporations). This allows LLCs to pass all of their income and losses through to the owners.

LLCs also have an advantage over S-Corporations because S-Corporations can only have 100 stockholders. Plus, those stockholders must be U.S. citizens and must not be Corporations.

How do Nevada Corporations or LLCs limit my liability?

The shareholders of a Nevada Corporation and the owners of units in a Nevada LLC, unless they personally guarantee the obligations, are not personally liable to the creditors of the Corporation or LLC.

What is a General Corporation (C-Corporation)?

For tax reasons, all Corporations are deemed General C-Corporations upon formation. This tax status allows them to pay a 15% federal tax rate on the first $50,000 of taxable income each year.

LLCs may elect the C-Corporation tax status. This allows for the possible deduction of health insurance, medical and dental expenses and disability insurance premiums for employees.

Not only is Nevada an easy state in which to incorporate or form LLCs, but also the annual cost is low (the Nevada Corporation annual fee is $85; the Nevada LLC annual fee is $85, regardless of capitalization).

Can a single person incorporate or form an LLC?

Yes, one person (U.S. or foreign) can form an LLC in Nevada or incorporate a Corporation in Nevada.

Can a single person be a Director and an Officer?

Yes, one person can be the President, Secretary, and Treasurer, as well as Sole Director, of a Nevada Corporation. This person is not required to disclose his or her name in the Articles of Incorporation. (Note: Directors are allowed to amend the bylaws of a Corporation).

One person can also be the managing member and owner of an LLC.

Can Nevada Non-Profit Corporations (Non-Stock Corporations) qualify as tax-exempt charitable, religious, educational and scientific organizations?

In order to obtain a Section 501(c)(3) tax exempt status, a company should file Form 1023 with the IRS.

Requirements



Does my business need an office or bank account in the state of Nevada?

No, neither an office nor a bank account need to be maintained in the state of Nevada.

An annual fee of $90 is paid to Agents and Corporations, Inc. to serve as the company’s statutory Resident Agent (to receive and forward copies of legal actions filed against the company). Annual meetings can be held anywhere and minutes can be signed by consent (without a meeting). If requested, we can also make referrals to bank accounts or mail-forwarding services.

No, Nevada does not have any minimum capital requirements to incorporate a Corporation or form an LLC.
