Why is a Registered Agent required?

Delaware requires all registered companies to name a statutory Registered Agent with a Delaware address to serve as a physical presence in the state where the company can be reached if a lawsuit needs to be served in Delaware. It is a door in Delaware where a sheriff or process server can knock and personally serve legal papers, such as notice of a lawsuit. Anyone over 18 can receive service of the lawsuit at this address for proper service. Although this centuries old concept of humans handing off papers within the borders of the state is old fashioned, it is designed to ensure proper notice. The Registered Agent office in the state of incorporation is a proper location for service of any lawsuit, no matter where in the world the lawsuit is initiated against that company. It is also the agent for the company’s managers, officers, and directors.

It is possible for a Delaware resident to self-appoint using a residential address as the Registered Agent. However, that means the address will be publicly listed, which is often not desired because you may get unwelcome visitors at your residence. Often people move and fail to file a $50 Change of Agent form with Delaware, resulting in the buyer of their house or new tenant in the apartment getting served or having notices returned to sender.

More importantly, the company risks having a default judgment against it if (1) no one is present at the address during normal business hours to be served the lawsuit or (2) your spouse, housekeeper, or family member fails to give you the summons and complaint, notice of the lawsuit, and you fail to respond within the time allowed.

Make Agents and Corporations, Inc. (IncNow) Your Delaware Registered Agent

When you file a company with us

Simply fill out our order form and Agents and Corporations, Inc., will become your Delaware Registered Agent.

When you file a company on your own

Visit our existing company order form and select “new appointment” on the Options and Services tab. (You can also call us at 1-800-759-2248).

This must be done before naming us as the agent and filing your Certificate of Formation or Incorporation.

When you want to change Delaware Registered Agents

Visit our existing company order form and select “change of agent” on the Options and Services tab.

We will prepare the one-page Delaware Change of Registered Agent filing, send it to the company’s authorized person to sign, and then submit it to the state for approval. We only charge the state fee of $50 plus a $49 processing fee for the service and include the balance of the calendar year of Registered Agent Service at no additional cost.
