What Documents Show That a Company Has Been Revived?

  • Does the simple Certificate of Revival prove that my company has been revived?
  • Can a Certificate of Revival be used to re-open a bank account?
  • Other than the filing fee, what other costs are associated with reviving a Delaware LLC?

Thank you very much for the good news regarding the Revival of my LLC. Is there any other official document evidencing the Revival of the company except for the attached document signed by the Beneficial Owner? Please advise.

The one-page Certificate of Revival that has an electronic stamp from the State of Delaware is the only evidentiary document. This document shows that the company is no longer void at the state level and has regained current Good Standing. Since the Certificate of Revival cannot be filed without paying overdue franchise tax, this is also evidence that the LLC’s franchise tax balance is current as of the date of filing.

You can use the Certificate of Revival for many of the same purposes for which you would use a Certificate of Formation for a company, such as opening a bank account.
