Franchise Tax Season is almost over….Don’t forget the March 1 Deadline (and watch out for scams)

Over a month ago, we forwarded by mail to all Delaware corporations for whom we serve as the registered agent the Official Tax Notice from the Delaware Division of Corporations. We also sent out two reminders. This Annual Franchise Tax Report must be filed online on or before March 1, 2013 for your Corporation to remain in good standing. We have sent two email reminders. If you have not paid this, please do so. You can file through the state’s website corp.delaware.gov If you have questions contact Bill in our office (800) 759-2248. (Delaware LLC Notices do not need to be paid until June 1).

Also, we have been alerted to a “scam” although we have not seen anyone who has received such notice. Be on the lookout for correspondence from:

The Secretary of State has recently learned that a business by the name of Corporate Records Service is now soliciting in Delaware; they are offering to file annual corporate minutes for a fee of $125.00. You may be aware that they have been operating in several other States as well. The Secretary’s office has published an announcement to inform the public of this scam. Please be aware of this issue.
