The article reports on the implications of the recent Delaware Supreme Court decision in RBC Capital Markets, LLC v. Jervis (2015 WL 7721882), finding financial advisers in a merger liable for aiding and abetting corporate directors’ breaches of fiduciary duties. It also extends this case analysis to LLC law in Delaware and attorney advisors to any business acquisition, merger or sale involving a Delaware business entity.
