Why you should organize your Limited Liability Company or Corporation in Delaware:

The internal operations of Delaware Corporations and LLCs are governed by Delaware law. The US Chamber of Commerce has rated Delaware's litigation system #1 of all 50 states in the past nine years in every category (Judges' Competence, Judges' Impartiality, Overall Treatment of Tort and Contract Litigation, etc.)

Additionally, recent amendments to the Delaware LLC Act now make it the state-of-the art jurisdiction for LLCs. Delaware's Charging Order Remedy is exclusive and very narrow, to starve out a creditor. Creditors are no longer entitled to other legal and equitable rights to attach assets. Assignees are also bound by the Operating Agreement even if they did not sign it.

Amendments

Should you wish to amend your Certificate of Incorporation / Certificate of Formation, we can prepare and file a Certificate of Amendment for your business.

Certificates of Amendment are often used to:

  • Change the Registered Agent of the Corporation or LLC to Agents and Corporations, Inc.
  • Amend the number of authorized shares of stock in a Corporation.
  • Change the name of an LLC or Corporation.

DBA (Doing Business As...)

Often, customers need to open bank accounts in names other than their corporate name (Trade Name). For example, if a bank will not let you cash a check under a Trade Name, you may consider filing a fictitious name (D.B.A. – 'Doing Business As') in New Castle County, Delaware for $214. We will fax the form to you for your signature and notary acknowledgement. When you return the original form to our office, we will file it with the New Castle County Prothonotary (Clerk of the Superior Court) and return the original to you. The D.B.A. does not expire or require annual fees.

Domestication

Offshore companies that wish to relocate to Delaware may be permitted to re-domesticate.

Should you have a non-United States entity that you would like to "merge" into a new Delaware Corporation or new Delaware LLC, we can prepare and file the Certificate of Formation and the Certificate of Domestication. We can also include a Good Standing Certificate and Certified Copy of the Certificate of Incorporation / Certificate of LLC Formation upon request. Call us for a quote.

  • Legalization of Delaware filings ($400+) (for countries not covered by the Hague Convention; price depends on consulate filing fees)

Foreign Qualification

Foreign Company Wanting to Do Business in Delaware:

If you have a Corporation or LLC that is incorporated in a state other than Delaware and you plan to transact business in Delaware, you may be required to file a Certificate of Authority. We can prepare and file the Certificate of Authority for a $189 processing fee, $90 agent fee, and $200 LLC State fee (or $245 Corporation State fee). (Note: Delaware requires a Certificate of Good Standing from your State of Incorporation to process this filing).

Delaware Company Wanting to Do Business Outside of Delaware:

Most Delaware Corporations and Delaware LLCs do business outside of Delaware.

The state where you operate your business may require that you file a Certificate of Authority to transact business as a foreign (out-of-state) Corporation or LLC. This is especially true when the business has employees or owns real estate outside of Delaware.

States vary on their requirements to file a Certificate of Authority. Our office is licensed by Delaware to produce a Good Standing Certificate (which most states require) or Certified Copy (required by AL, AZ, IA, IL, MD, VA) of the Certificate of Incorporation for your business. The cost for this Domestication service is our processing fee of $50, plus the $50 state fee and any postage fees.

Good Standing

We can obtain a Short-Form Certificate of Good Standing or a Certified Copy of your Certificate of Incorporation / Certificate of Formation from the State of Delaware and mail it to you for $99 (the State charge of $50 plus our $49 processing fee). Some other agents charge as much as $130 for this service.

We can produce the Good Standing and Certified Copies within minutes. This document is often required as supporting documentation when submitting a Certificate of Authority to your home state to become a registered foreign Corporation or foreign LLC. (Note: You can request this service at the time of formation or at a later date).

Renewal and Revival

We charge a $189 processing fee (plus state fees) to file a Certificate of Renewal and Revival for a Delaware Corporation, LLC, LP, or LLP. We prepare this certificate for the signature of an Officer, Director, or Member.

To obtain a Certificate of Renewal and Revival, the following conditions must be met:

  • Back state taxes must be paid.
  • The state filing fee must be paid.
  • The Agents and Corporations, Inc. Registered Agent fee must be paid.

If you call our office, we will determine (via the Delaware Corporate Imaging System - "D.C.I.S.") the amount of tax you owe, plus any applicable penalties and interest.

We can also perform this service if we are not currently your Registered Agent. For $90 per year, you can include a Change of Registered Agent to Agents and Corporations, Inc. on your Certificate of Renewal and Revival.

Non-Profits/Non-Stock

Should a company with a religious, educational, scientific or charitable purpose wish to obtain a Section 501(c)(3) tax-exempt determination from the IRS, the company’s Certificate of Incorporation must include certain tax provisions that Agents and Corporations, Inc. (Incnow) includes in its form of Non-Profit Certificate of Incorporation.

Some of these tax provisions include:

  • Non-Profit Corporations have Members instead of stockholders. (Agents and Corporations, Inc. provides a set of Bylaws for a Non-Profit Organization governed by its Members)
  • Non Profit Corporations have Directors and Officers. (Agents and Corporations, Inc. provides Minutes of the Incorporator to elect Directors and Minutes of the First Directors Meeting to elect Officers)

Once we have formed your Non-Profit Corporation, you are eligible to complete the Form 1023 application for 501(c)(3) status. Form 1023 is available from the IRS at www.IRS.gov. A 501(c)(3) Corporation has the special ability to allow donors to make contributions to the Corporation and take a deduction on their personal tax return in the amount of up to 50% of their adjusted gross income for a public charity. The tax exemption will be retroactive to the date of incorporation if the Form 1023 Application is filed within 15 months after the month of incorporation.

Taxes

Back Taxes

Often business owners overlook the requirement to send in the annual report and franchise tax to the State of Delaware in a timely fashion.

Should a Delaware Corporation or Delaware LLC neglect to pay its franchise tax (March 1 for Corporations) or annual fee (June 1 for LLCs) to the State of Delaware, it will no longer be in good standing. To reinstate your Corporation or LLC to good standing the same day, we have the ability to pay your back taxes, interest and penalties.

If your company has not been declared void, the processing fee for this service is $50 (in most instances, where the tax owed is less than $1000).

If your company has in fact been declared void, we can also prepare for your signature and file a Certificate of Renewal and Revival for your Corporation. The cost of this service is an extra $189. Reduction of Stock-Authorization-Based Taxes

If a Corporation has been billed a large amount of franchise taxes on its annual report due to the authorization of a large number of low par value shares of stock, we can help you reduce the franchise tax using the Delaware Authorized Alternate Calculation based on the assets of the Corporation and number of shares of stock actually issued.

Self Incorporation

Registered Agent Services for Self-Incorporators

For "Do-It-Yourselfers" who do not need our assistance in filing the state documents or preparing the internal corporate documentation, Agents and Corporations, Inc. will agree to serve as your Registered Agent for $90.00 per year.

To appoint Agents and Corporations, Inc. as your Registered Agent, you must insert the following in your company’s Delaware Certificate of Incorporation or LLC Certificate of Formation:

"The address of its registered office in the State of Delaware and the name of its Registered Agent is Agents and Corporations, Inc., Suite 600, One Commerce Center, 1201 N. Orange Street, Wilmington, New Castle County, Delaware, 19801."

Then, send us a check or credit card authorization in the amount of $90.00, payable to Agents and Corporations, Inc., and provide us with your name, company name, phone, e-mail and mailing address (Note: make sure to keep this information current with us at all times thereafter). After the first calendar year, we will bill you $90 annually for the Registered Agent fee.

Additional Services for Self-Incorporators

For an LLC, should you wish to have a custom LLC Operating Agreement prepared at a later date, we offer the service for $175.

For a Corporation, should you wish to have the minutes of the meeting of incorporator, unanimous action of directors, stock certificates, and Bylaws prepared, we can prepare these documents for $175.
