Nevada has been very aggressive in making laws to attract business to Nevada, especially from people in nearby California. Nevada has favorable state income tax rates. Nevada has designed its laws to make it very difficult for a creditor of a Corporation to sue the stockholders personally. For this reason, Nevada Corporations have been growing in popularity.

Delaware versus Nevada


Our U.S. and foreign customers often ask about privacy / confidentiality, costs, and other comparisons between Nevada and Delaware when it comes to incorporating a Corporation or forming an LLC.

This page explains how the Delaware LLC provides the most protection at the lowest cost.


Privacy / Confidentiality



LLC Members and Managers:

The Delaware LLC does not require the disclosure of member or manager names. The Nevada LLC, on the other hand, does require member and manager names.

Corporation Stockholders:

One commonly-cited argument in favor of Nevada is that Nevada allows for stockholders to remain anonymous (via bearer stock certificates with no names of stockholders), whereas Delaware does not. This argument is no longer valid, as Nevada recently changed its laws and disallowed bearer stock certificates.

Financial and other Personal Information

Another commonly-cited argument in favor of incorporating or forming an LLC in Nevada is that Nevada does not have an information-sharing arrangement with the IRS, whereas Delaware does. This fact is also irrelevant. Nevada requires your private information to be published with the initial list of Officers and Directors, thus removing its anonymity. Delaware, though it does not have a non-information-sharing arrangement with the IRS like Nevada does, does not obtain any financial or personal information about your company.

Costs



Filing Fees

The minimum filing fee is $89 to form a Delaware Corporation and $90 to form a Delaware LLC. In contrast, the minimum filing fee to form a Nevada Corporation or LLC is $200 (included in this cost is the list of Corporation Officers / Directors or LLC Members / Managers, which is required in Nevada but not in Delaware).

Income Taxes

One argument in favor of Nevada’s cost system is that companies incorporated or formed with the state of Nevada do not have to pay Nevada income tax if they do business in Nevada. This argument fails, however, to consider those Nevada LLCs or Corporations that do business in other states. Under such circumstances, the company would still have to pay income taxes. For example, if a Nevada LLC or Corporation does business in California, the company would have to pay California income taxes (along with the fee to register as an out-of-state company doing business in California and the California annual Corporation / LLC fees).

Business License

Another downside of the Nevada cost system for Nevada LLCs and Corporations doing business in other states is that Nevada always requires a $25 license to do business in Nevada, regardless of whether the company actually does business in Nevada. Delaware Corporations and LLCs, on the other hand, do not have to purchase a Delaware business license if they do not plan on actually doing business in Delaware.

Other Comparisons



  • Delaware companies also have a better reputation in the business community, as judged by the United States Chamber of Commerce.
  • Neither Delaware nor Nevada requires a bank account to be opened or meetings to be held in the state. Please note that Delaware bank accounts are exempt from attachment by creditors (other than tax creditors and spousal and child support creditors).
