What is a Florida Registered Agent?



Definition

A Florida Registered Agent is a person that receives a company’s Service of Process and other essential documents from the state. The Registered Agent is designated in the Articles of Incorporation / Articles of Organization and must be available at their listed Florida street address during normal business hours.

Florida state law demands that every type of company (LLC, Corporation, etc.) name a Registered Agent in Florida. If a company fails to respond to a lawsuit in a timely manner, a judgment by default against the company will result.

If you need help deciding whether to form an LLC or a Corporation, we can assist you by giving you detailed information on the tax implications of both. In limited circumstances, we will also assist you with questions concerning corporate and tax law. (We do not offer advice on securities law).

Some formation (incorporation) and agent services charge “back-end” fees that they do not fully disclose to their customers. Agents and Corporations, Inc. (Incnow) fully discloses all fees up-front.

Appoint Us Agent

As your Registered Agent, we will accept your company’s Service of Process (lawsuits, etc.) and forward it directly to you so that you can respond in a timely manner. We will also send you the State of Florida Annual Franchise Tax Report to complete and file, so that your company will always remain in Good Standing.

Our annual Registered Agent fee is $90.00 per year (the first calendar-year Registered Agent fee is included in the Corporation or LLC formation cost). Some other agents have been known to charge as much as $280.00 per year for the same service.

Change Your Registered Agent

Why switch to Incnow (Agents and Corporations, Inc.)?

If your Florida Registered Agent charges more than $90 per year, you can reduce your annual fee by switching your Registered Agent to Agents and Corporations, Inc.

After you complete our Change of Agent Form (available online or by telephone at 1-800-759-2248), we will FAX or E-Mail you a Change of Registered Agent certificate for you to sign and return. We will then file the certificate and make the change. The total cost of this service is the Florida state filing fee (required), plus the Incnow annual processing fee of $90.
