Good Standing Certificate

Agents and Corporations, Inc. (Incnow) can obtain a Good Standing Certificate or a Certified Copy of your Articles of Incorporation / Articles of Formation for a small fee ($60 each) from the State of Florida.

The Good Standing Certificate is often required by a company’s home state when it submits a Certificate of Authority to become a registered foreign LLC or Corporation. You may request this service from Agents and Corporations, Inc. either at the time of formation or at a later date.

Foreign Qualification

If you have a Limited Liability Company (LLC) or Corporation that was formed in a state other than Florida and you plan to do business in Florida, you may need to file a Certificate of Authority. We can prepare and file the Certificate for (1) our $90 Registered Agent fee, plus (2) the state processing fee (usually $125 – see below), plus (3) the LLC or Corporation state formation fee (also usually $125 – see below), plus (4) the fee for a Good Standing Certificate from your state of formation.

Examples:

Non-Delaware Corporation Doing Business in Florida: $285.00 (Includes state filing fee of $70.00, our $90.00 Registered Agent Fee for one year and the service charge of $125.00). The customer needs to obtain a Good Standing Certificate from the state where they incorporated.

Non-Delaware LLC Doing Business in Florida: $340.00 (Includes state filing fee of $125.00, our $90.00 Registered Agent fee for one year and the $125.00 service charge). The customer needs to obtain a Good Standing Certificate from the state where they formed their LLC.

Delaware Corporation Doing Business in Florida: $345.00 (Includes state filing fee of $70.00, our $90.00 Registered Agent fee for one year, $60.00 for the Good Standing Certificate and the $125.00 service charge).

Delaware LLC Doing Business in Florida: $400.00 (Includes state filing fee of $125.00, our $90.00 Registered Agent fee for one year, $60.00 for the Certificate of Good Standing and the $125.00 service charge).

Trademarks

For $200, Agents and Corporations, Inc. (Incnow) will conduct a direct-hit Federal and state search for your name-only trademark. This search, which takes less than a week, will show other trademarks on record that are likely to prevent registration of your proposed trademark.

If you would like to file a mark with the USPTO (United States Patent and Trademark Office) in one class of goods or services, we charge $275 plus the filing fee of $325. Marks can be based on use in commerce or intent-to-use. Six months after you file the mark, the USPTO will respond with an Office Action. You may answer the USPTO questions yourself or we can file your answer to the Office Action, usually for about $200 (depending on the answer’s complexity). Should your mark be approved you will be issued a certificate of registration and a number for a US Trademark after about one year.

Please note: the more unique your trademark is, the more likely it will be approved. There is no guarantee, however, that your trademark will be approved. For a small fee, we can obtain for you the minutes of the meeting of incorporator, unanimous action of Directors, stock certificates, and Corporation bylaws.

Self-Incorporated LLCs:

For a fee of $175, we can prepare for your LLC a custom LLC Operating Agreement.
